XedeX Evaluation Agreement

BY INSTALLING OR USING THE SOFTWARE ("SOFTWARE")
OF CRESSET BIOMOLECULAR DISCOVERY LTD ("CRESSET")
THAT ACCOMPANIES THIS EVALUATION LICENSE (THIS
"LICENSE"), YOU ARE CONSENTING TO BE BOUND BY AND
ARE BECOMING A PARTY TO THIS AGREEMENT.  IF YOU
AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, THEN
PLEASE CHECK THE "I have read and agree to the
terms of this license agreement" CHECKBOX. IF YOU
DO NOT AGREE TO ALL OF THE TERMS OF THIS
AGREEMENT, DO NOT CHECK THE CHECKBOX AND DO NOT
INSTALL OR USE THE SOFTWARE.

Subject to the terms of this Agreement, you (the
"Licensee") are granted by the "Licensor" (Cresset
BioMolecular Discovery Ltd, "Cresset"), and hereby
accept, a non-exclusive, non-transferable,
temporary license to use Cresset's XedeX
software, which for the purposes of this Agreement
includes the computer software programs and the
related documentation, on the terms described
below.

1.	The Licensee acknowledges that any and all
of the copyright, trade marks, trade names,
patents and other intellectual property rights
subsisting in or used in connection with the
Software including all documentation and manuals
relating thereto, are and shall remain the sole
property of the Licensor.  The Licensee shall not
during or at any time after the expiry or
termination of this Agreement in any way question
or dispute the ownership by the Licensor thereof.

2.	No warranty - The Software provided for
evaluation is provided "as is" without warranty of
any kind and may not be error free.  Cresset
disclaims all warranties of merchantability and
fitness for a particular purpose.

3.	The Licensor shall not be liable to the
Licensee for any loss or damage whatsoever or
howsoever caused arising directly or indirectly in
connection with this Agreement, the Software, its
use or otherwise, except to the extent to which it
is unlawful to exclude such liability under the
applicable law.

4.	The temporary license period is for 1
month.  The license may not be renewed or extended
without the express written permission of Cresset.

5.	If any provision of this Agreement is held
to be unenforceable, such provision shall be
reformed only to the extent necessary to make it
enforceable, and the remainder of this License
shall nonetheless remain in full force and effect.  

6.	This Agreement shall be construed,
governed, and enforced by the laws of England.

The Licensee undertakes:

(a)	not to copy the Software nor otherwise
reproduce the same provided that the Licensee may
copy the Software for back-up purposes;

(b)	not to translate, adapt, vary, or modify
the Software; nor to disassemble, decompile or
reverse engineer the Software;

(c)	not to provide or otherwise make available
the Software in whole or in part (including but
not limited to program listings, object and source
program listings, object code and source code), in
any form to any person;

(d)	not to sell, lease, license, sub-license
or otherwise deal with the Software or any part or
parts or variations, modifications, copies,
releases, versions or enhancements thereof ;

(e)	to supervise and control Use of the
Software in accordance with the terms of this
License; 

(f)	within fourteen (14) days after the date
of termination or discontinuance of this License
for whatever reason, to destroy the Software and
all updates, upgrades or copies and all
documentation relating thereto.
